Tam Heather Rules of Governance

To all Tam Members

At our Special General Meeting on September 30, 2024, the membership approved the Rules of Governance document initially posted on our website and added with several amendments at that meeting. Upon the Board’s final review of the new membership approved document, it was noted that some items needed more clarification.

As noted in Section 6.1 (a) of the new Rules of Governance document, the Board of Directors is allowed to amend these By-Laws by ordinary resolution of the BOD, but that any and all of these changes MUST then be approved by the membership at the next membership meeting for these BOD changes to become permanent changes to the By-laws.

Attached is the updated Rules of Governance document and the notable changes enacted by the BOD have been highlighted in yellow and are summarized below.  None of these changes are fundamental changes to the spirit or intent of the original Rules of Governance document.

There have also been several very minor wording changes / clarifications, capitalization changes which have not been highlighted, as this would have made the document look too busy.

Key changes approved by the BOD are as follows:

Section 3.1(d) added section (iv) which talks to individuals elected or appointed to the BOD must consent in writing to standing on the Board. “Notwithstanding 3.1(d)(iii) if an individual elected or appointed consents in writing after the period mentioned in 3.1(d)(iii), the election or appointment is still valid”.

Section 5, notice periods chart.

Nomination for Directors – changed to read “As determined by Board”

Nominating Committee Report – changed to read “No later than 40 days prior to Annual Meeting”.  

As can be seen, none of the above changes are fundamental and only add clarity to our Rules of Governance.  Also, as noted above, all of the above changes MUST be approved by the membership at our next membership meeting for these changes to become permanent changes to our Rules of Governance document.

Club Information

Tam Heather, or the “Tam” as we call it, is an active friendly club located in the Morningside and 401 community of Scarborough. Tam Heather opened in 1973 as a curling club with eight sheets of ice, then two years later in 1975, the club expanded by adding five tennis courts, three of which were covered in the winter with a bubble. Thirty four years later, in 2009, a four court year-round covered structure was built.
